Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 24, 2010, the Board of Directors of Electro Scientific Industries, Inc. (the “Company”) appointed David Nierenberg as a director of the Company. Mr. Nierenberg was also appointed to the Compensation Committee of the Company. In connection with his appointment, Mr. Nierenberg was awarded 12,500 restricted stock units, 25% of which will vest on the first four anniversaries of the date of grant.
