Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 22, 2007, the Compensation Committee of Electro Scientific Industries, Inc. (the “Company”) approved an increase in the salary of Kerry Mustoe, the Company’s Interim Chief Financial Officer, of $30,000 per quarter, payable in monthly installments, for so long as she serves as Interim Chief Financial Officer. Ms. Mustoe was previously appointed Interim Chief Financial Officer, effective October 1, 2007.
