Item 2.02 Results of Operations and Financial Condition.
On July 26, 2007, The Progressive Corporation issued a news release correcting its previously
distributed June 2007 consolidated balance sheet and certain related information to reflect the
accrual for the future payment of the $2.00 per Common Share extraordinary cash dividend which was declared by the Board of Directors on
June 13, 2007, and discussing the discovery and remediation of a related material weakness in
internal control over financial reporting. A copy of the news release is attached hereto as
Exhibit 99.
