Item 1.01 Entry Into A Material Definitive Agreement.
     On January 23, 2007, Blair Corporation, a Delaware corporation (the “Company”), BLR Acquisition Corp., a Delaware corporation (“Merger Sub”), and Appleseed’s Topco, Inc., a Delaware corporation and portfolio company of Golden Gate Capital (“Appleseed’s”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) pursuant to which Appleseed’s will acquire all of the outstanding shares of Company common stock for $42.50 per share in cash, without interest (“Merger Consideration”), or approximately $173.6 million in the aggregate. In addition, each outstanding unvested restricted share of the Company will be converted into the right to receive cash in an amount equal to the Merger Consideration, and the holders of all outstanding options to acquire shares of Company common stock will receive an amount in cash equal to the excess, if any, of the Merger Consideration over the per share exercise price of the option. Under the terms of the Merger Agreement, the Company is to be acquired by Appleseed’s through a merger of Merger Sub and the Company, with the Company as the surviving corporation (the “Merger”).
     The parties currently anticipate consummating the Merger in the Spring of 2007. Upon the closing of the Merger, shares of the Company’s common stock would no longer be listed on the AMEX. The consummation of the Merger is subject to the approval of the Company’s stockholders, the expiration of any required waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, and satisfaction of other customary closing conditions. Pursuant to the terms of the Merger Agreement, the Company may solicit additional proposals to acquire the Company for a period of 30 days following the date of the Merger Agreement. The Board of Directors of the Company, with assistance of its independent advisors, intends to solicit proposals during this period.
