(d) On November 21, 2005, Fernando Rodriguez Amaro was elected to First BanCorp’s Board of Directors to serve until the 2006 annual meeting of the stockholders of the Company. Mr. Rodriguez Amaro will serve on the Board’s Audit Committee.
