The Company was unable to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2012 within the prescribed time period because the compilation, dissemination and review of the information contained in the  Company's financial statements imposed time constraints on the Company and its independent accountants that has rendered timely filing impractical without undue hardship and expense to the Company.  The Company intends to file its Quarterly Report on Form 10-Q on or before the 5th calendar day following the prescribed due date.
