Explanatory Note
This Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by Motorcar Parts of America, Inc. (the “Registrant”) on June 9, 2008, reporting the appointment of Duane Miller as a member of the Registrant’s Board of Directors (the “Board”).
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 11, 2008, the Board appointed Duane Miller to serve on the Board’s Compensation, Audit, Ethics and Nominating and Corporate Governance Committees.
There are no transactions or relationships between the Registrant and Mr. Miller that are reportable under Item 404(a) of Regulation S-K.
