Item 1.01. Entry into a Material Definitive Agreement.
     On April 19, 2006, the registrant entered into an amendment to its credit facility with Union Bank of California, N.A. Under the terms of the amendment, the amount of available credit was increased from $15,000,000 to $25,000,000 and the expiration date for the credit agreement was extended from October 2, 2006 to October 1, 2008. The amendment also added a covenant establishing a maximum leverage ratio, reduced the minimum fixed charge coverage ratio that the registrant must maintain and added provisions providing for a 25 basis point reduction in the interest rate charged under the credit facility and a 12.5 basis point reduction in the unutilized loan fee if the registrant achieves a targeted leverage ratio. Copies of the amendment and the related revolving note are attached hereto as Exhibits 99.1 and 99.2, respectively, and incorporated herein by reference. A copy of the press release the registrant issued on April 24, 2006 announcing the amendment to the credit facility is attached as Exhibit 99.3 and incorporated herein by reference.
