Item 8.01. Other Events.
On March 22, 2011, a civil complaint was filed in the United States District Court for the District of Massachusetts by The University of Utah (the “University”). The complaint, which names Alnylam Pharmaceuticals, Inc. (the “Company”), Max-Planck-Gesellschaft zur Forderung der Wissenschaften E.V., Max Planck-Innovation GmbH, the Whitehead Institute for Biomedical Research, the Massachusetts Institute of Technology and the University of Massachusetts, alleges claims to inventorship by Dr. Brenda Bass, a professor at the University, to the Tuschl patents. The University is seeking corrections to the inventorship of the Tuschl patents, unspecified damages and other relief.
The Company strongly disagrees with the claims asserted in this action and intends to defend the action vigorously.
