     Professor David L. Johnston has tendered his resignation, effective as of September 30, 2010, to the Board of Directors of the Company. Professor Johnston’s resignation from the Company’s Board of Directors is due to his recently announced appointment, effective October 1, 2010, as the next Governor-General of Canada.
