(Commission File No. 333-08667) registering 75,000 shares of Common Stock for

the 75,000 shares of Common Stock covered by such Registration Statement have
been increased under the Plan to 168,750 shares, pursuant to Rule 416 under the
Securities Act, to give effect to a three-for-two stock split, effected as a 50%
stock dividend, in June 1997, and a three-for-two stock split, effected as a 50%
stock dividend, in June 1998.
