Item 1.01. Entry into a Material Definitive Agreement.

 

On December 28, 2005, the Compensation Committee of the Registrant’s Board of Directors approved a cash bonus plan under which each of the executive officers of the Registrant listed below is eligible for a cash bonus payment in the amount set forth below opposite the name of such officer, in each case payable in 2007 upon the Registrant’s achievement of certain profit performance criteria during the Registrant’s 2006 fiscal year (as determined by the Registrant):
