Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On February 25, 2008, Mr. William D. Matthews submitted his resignation as a Director of the Board of Directors of the Company, effective the end of his current term, which expires at the next annual meeting of shareholders. His resignation as a Director also includes his resignation as a member of the Audit Committee and the Corporate Governance and Nominating Committee, and also as the Chairman of the Compensation Committee on which he served. Mr. Matthews resigned to pursue other interests. There were no disagreements between the Company and Mr. Matthews that led to his resignation.
