In January 2009, the Board of Directors of CommScope, Inc. (the “Company”) approved, subject to the approval of the Company’s stockholders, an additional 2,300,000 shares of the Company’s common stock, par value $0.01 per share, to be authorized for issuance under the CommScope, Inc. 2006 Long Term Incentive Plan (the “Plan”), 1,300,000 of which may be granted as full value awards.  On May 1, 2009, the Company’s stockholders approved this increase in shares.
