OTHER EVENTS. On December 30, 2002, we agreed to issue and sell 2,090,000 of our common shares in a public offering. We expect to issue and deliver 1,810,000 of these shares on or about December 31, 2002 and the remaining 280,000 on or about January 2, 2003. The price to the public will be $14.35 per share, for an aggregate purchase price of $29,991,500. We estimate that the net proceeds to us from this offering will be approximately $29,450,600.
