Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On April 23, 2013, the Board of Directors of Power Integrations, Inc. amended Section 2.8 and Section 3.2 of the Power Integrations, Inc. Bylaws to provide that, in connection with actions taken by unanimous written consent of the Board of Directors or any committee of the Board of Directors, written consent shall also include by electronic transmission. The full text of Section 2.8 and Section 3.2 of the Power Integrations, Inc. Bylaws is set forth in the Power Integrations, Inc. Amended and Restated Bylaws, which are filed as Exhibit 3.1 attached to this Form 8-K.
