                On July 23, 2008, the Board of Directors of Astec Industries, Inc. (the "Company") approved amendments to Paragraphs 4.1 and 4.5 of the Company’s Amended and Restated Bylaws, effective immediately, concerning the qualifications and general powers of the Directors and vacancies in the Board.  The preceding summary is qualified in its entirety by the Third Amendment to the Amended and Restated Bylaws of Astec Industries, Inc. attached hereto as Exhibit 3.1 and incorporated herein by reference.
