Item 8.01  Other Events

In November 2013, NextEra Energy, Inc. (NEE) entered into a confirmation of forward sale transaction (forward sale agreement) with a forward counterparty whereby the forward counterparty borrowed and sold 6.6 million shares of NEE's common stock. See NEE's Form 8-K filed with the Securities and Exchange Commission on November 22, 2013 for a more detailed discussion of the forward sale agreement. On December 22, 2014, NEE physically settled the forward sale agreement by delivering 6.6 million shares of its common stock to the forward counterparty in exchange for cash proceeds of approximately $552 million. The forward sale price used to determine the cash proceeds received by NEE was calculated based on the initial forward sale price of $88.03 per share less certain adjustments as specified in the forward sale agreement.
