Deregistration of Securities

On August 20, 1999, Seitel, Inc. (the "Company") filed a shelf registration statement on Form S-3 (the "Registration Statement").  The Registration Statement covered the offering of up to $200,000,000 of the Company's common stock, par value $.01 per share (the "Old Common Stock"), senior debt securities, subordinated debt securities, preferred stock and junior subordinated debt securities.  Also included in this $200,000,000 were trust preferred securities of Seitel Capital Trust I and Seitel Capital Trust II, as well as the Company's guarantees of such trust preferred securities. 

On July 22, 2003, the Company filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code. The Bankruptcy Court confirmed the Third Amended Joint Plan of Reorganization, as modified, supplemented or amended (the "Plan"), on March 18, 2004 and it became effective as of July 2, 2004.  Pursuant to the Plan, all equity securities of the Company were cancelled.  The outstanding shares of the Old Common Stock were automatically converted into shares of the Company's reorganized common stock, par value $0.01 per share (the "New Common Stock").  This transaction was exempt from registration under the Securities Act of 1933, as amended, pursuant to Section 1145(a) of the United States Bankruptcy Code.  The Company made no offers or sales under the Registration Statement, therefore all of the $200,000,000 remains unissued (the "Remaining Securities").  Because of the Company's reorganization under the Plan, there will be no future offers or sales under the Registration Statement.  Accordingly, this Post Effective Amendment No. 1 to the Registration Statement is being filed to deregister, as of the date hereof, all of the Remaining Securities of the Company.
