Item 7.01.                                Regulation FD Disclosure.

 
In accordance with General Instruction B.2. of Form 8-K, the following information shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended. Olin disclaims any intention or obligation to update or revise this information.
 
Attached as Exhibit 99.1 and incorporated herein by reference is a copy of the Company’s press release dated December 31, 2008, announcing that it has declared force majeure for products shipped from its Henderson, Nevada facility until further notice.  The force majeure was declared due to an unexpected equipment failure at the facility during an attempted start-up of the facility after a scheduled outage.   Caustic soda and chlorine manufactured at the Henderson facility are used as raw materials at Olin’s Santa Fe Springs, California and Tracy, California facilities and, consequently, Olin also declared force majeure on products shipped from those facilities.  Products impacted by this force majeure include chlorine, caustic soda, hydrochloric acid, hydrogen and bleach.
