ITEM 8.01. OTHER EVENTS.

On September 22, 2005, the Corporation announced that, effective January 1, 2006, Chief Risk Officer, Paul D. Freudenthaler, will become the Chief Financial Officer of the Corporation's commercial banking segment. That segment's current Chief Financial Officer has accepted a promotion within the same segment.

Mr. Freudenthaler will continue to serve as Irwin Financial's Chief Risk Officer through year-end. The Corporation has begun a search to replace Mr. Freudenthaler in his current capacity.
