ITEM 5. OTHER EVENTS.

     We are filing this 8-K/A to correct and update certain income statement and balance sheet items, without effect to total net income or total assets, and to correct a calculation with respect to reported risk based capital ratios provided in our news release of October 18, 2001. The corrected Total Risk Based Capital of the Corporation on September 30, 2001 was 10.8%, compared to 10.6% a year earlier. Attached as Exhibit 99.1 is the revised news release.
