Super Micro Computer, Inc. (the “Company”) is not in a position to file its Form 10-K for fiscal year ended June 30, 2017 (the “Form 10-K”), in a timely manner because the Registrant cannot complete the Form 10-K in a timely manner without unreasonable effort or expense. Additional time is needed for the Company to compile and analyze certain information and documentation and complete preparation of its financial statements in order to permit the Company’s independent registered public accounting firm to complete its audit of the financial statements to be incorporated in the Form 10-K and complete its audit of the Company’s internal controls over financial reporting as of June 30, 2017.

On August 3, 2017, the Company issued a press release announcing its operating and financial results for the quarter and fiscal year ended June 30, 2017. A copy of the press release was furnished as Exhibit 99.1 to the Company’s Current Report on Form 8-K filed with the SEC on August 3, 2017. The results did not include any significant change in results of operations from the corresponding period for the last fiscal year. In the press release, the Company announced the following:

Net sales for the fiscal year ended June 30, 2017 were $2,529.9 million, up 14.2% from the fiscal year ended June 30, 2016.

GAAP net income for fiscal year ended June 30, 2017 was $69.3 million, or $1.34 per diluted share, a decrease of 3.7% from fiscal year ended June 30, 2016.
