PART III – NARRATIVE
 
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
Due to our reduced staffing levels we experienced delays in closing our books and accordingly, the audit of our financial statements is not completed.  We needed to obtain an independent valuation of certain of our outstanding warrants, which we have not yet received.  Consequently we have not yet completed our financial statements to be included in our Annual Report on Form 10-K within the prescribed time period without unreasonable effort or expense.
 
As a result of the foregoing, our Annual Report on Form 10-K for the quarterly period ended November 30, 2009 will be filed on or before March 15, 2010, which is within the extension period provided under Rule 12b-25.
