This Registration Statement covers 500,000 shares of the Registrant's common stock that may be offered or sold from time to time pursuant to the Registrant's 2018 Incentive Plan (the "Plan"). Shares of common stock issuable under the Plan include awards or restricted stock and shares of common stock issuable upon exercise of stock options and restricted stock units under the Plan.

Pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement also covers an indeterminate number of additional shares of common stock that may be offered or issued by reason of stock splits, stock dividends or similar transactions.

The estimate is made pursuant to Rules 457(c) and (h) under the Securities Act, and based upon the average high and low prices of a share of Registrant’s common stock, as reported on the Nasdaq Global Select Market on May 11, 2018.
  





EXPLANATORY NOTE
At the annual meeting of the Registrant's stockholders held on March 20, 2018, the Registrants stockholders approved a new 2018 Incentive Plan pursuant to which 500,000 shares of common stock of the Registrant have been authorized for issuance. Pursuant to General Instruction F of Form S-8, this Registration Statement is being filed to register the maximum number of shares authorized for issuance under the 218 Incentive Plan.

The Registrant's directors and officers are indemnified as provided by the Delaware General Corporation Law and the Registrant's Bylaws. The Registrant has agreed to indemnify each of its directors and certain officers against certain liabilities, including liabilities under the Securities Act. Insofar as indemnification for liabilities arising under the Securities Act may be permitted to the Registrant's directors, officers and controlling persons pursuant to the provisions described above, or otherwise, the Registrant has been advised that in the opinion of the SEC such indemnification is against public policy as expressed in the Securities Act and may, therefore, be unenforceable.
