Regarding: Delek /Alon Merger Update
All,
I am pleased to update the team on the progress we have made toward closing the Alon USA transaction. While there are obstacles still to overcome, we believe the transaction is on track to close in the May-June timeframe. A great deal of work has already been completed, but much still remains to do to reach our goal.

As many of you are aware, Delek formed an integration team and developed draft integration plans covering all of the functional areas of the company. Alon has assigned counterparts to the team for each functional area. These preliminary plans are being refined and the teams are currently working well together to understand the differences between how each company conducts its business and how the combined company will efficiently operate. For legal reasons, we cannot begin to integrate the companies until after the closing occurs.

There are a number of steps that still must be completed before closing, including obtaining regulatory approvals and the favorable votes of the shareholders of both Delek and Alon. Our finance and legal teams, in addition to working on integration planning, are focused on making regulatory filings and seeking approvals to keep the process moving. We are also in the process of defining the organizational structure for the combined company, with a goal of beginning to approach individuals in late March or early April with respect to filling specific roles after the closing. While there is no guarantee of employment, we will make every effort to place qualified Alon employees in any open role. We are focused on making sure that the transition to the new organizational structure will be as smooth as possible.

We know many of you have questions. Our goal is to provide information when we can and are legally able. Certain information will need to wait until closing occurs and the actual integration plans are underway. We will make every effort to share information as decisions are made and we are legally able to communicate them.

We truly appreciate the extra effort the Alon and Delek team members are putting forth to ensure this is a well-thought out and cohesive partnership to make this integration planning a success.
