Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) VeriFone Systems, Inc. (the “Company”), and Mr. Eliezer Yanay, Chief Operations Officer and a named executive officer of the Company, have mutually agreed to a separation of employment from the Company effective November 30, 2013. In connection with his separation from the Company, Mr. Yanay shall receive severance benefits in accordance with the Company's Executive Severance Policy as adopted by the Company on September 19, 2013 for certain designated executives of the Company. Except as provided for under the Executive Severance Policy or otherwise required by law, all of Mr. Yanay's employment benefits and arrangements shall terminate in accordance with their terms.
