On May 15, 2012, the Consulting Agreement dated June 7, 2011 between Cliffs Natural Resources Inc. (the "Company") and William R. Calfee, a retired executive of the Company and named executive officer, was amended to extend the term of Mr. Calfee’s engagement as a consultant from June 29, 2012 until December 31, 2012. In addition, the amendment clarified the term "business day" for purposes of its application in the Consulting Agreement. All other terms of the Consulting Agreement remain in full force.
