The Company wishes to disclose its press release dated October 27, 2005, furnished herewith as Exhibit 99.1, relating to the Company's financial results for the three and nine months ended September 30, 2005 and the approval of a regular quarterly cash dividend of $0.04 per share.





Item 8.01 Other Events.

On October 26, 2005, the Board of Directors of Patterson-UTI Energy, Inc. approved a quarterly cash dividend on each share of its common stock in the amount of $0.04 per share. The dividend is to be paid on December 1, 2005, to holders of record as of November 15, 2005.
