Item 8.01. Other Events.

On October 14, 2004 the position of Chief Executive Officer of Trinity Rail Group, LLC ("TRG"), a subsidiary of Trinity Industries, Inc. (the "Company"), was eliminated. Michael E. Flannery, who has been serving as Chief Executive Officer of TRG, will be transitioning out of the Company. Timothy R. Wallace, Chairman, President and Chief Executive Officer of the Company, will serve as Chairman of TRG with the Presidents of the Company’s North American Freight Car and European Rail Car businesses reporting to him.
