(1) | The Option shares shall vest as follows: The shares subject to the Option Grant will vest on the one year anniversary of April 8, 2014, subject to the Reporting Person's Continuous Service (as defined in the Issuer's 2014 Equity Incentive Plan) through such vesting date. |
(2) | The Reporting Person is a partner at Essex Woodlands Health Ventures V, LLC, which is the general partner of Essex Woodlands Health Ventures Fund V, L.P. ("Essex Fund V"). Under Essex Fund V's partnership agreement, the Reporting Person is deemed to hold the reported option for the benefit of Essex Fund V, and must exercise the option solely upon the direction of Essex Fund V, which is entitled to the shares issued upon exercise. Essex Fund V may be deemed the indirect beneficial owner of the option, and the Reporting Person may be deemed the indirect beneficial owner of the option through her indirect interest in Essex Fund V. The Reporting Person disclaims beneficial ownership of the option except to the extent of her pecuniary interest therein. |
