Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 4, 2019, the Compensation Committee of the Board of Directors of Office Depot, Inc. (the Company) approved an increase in compensation for Mr. Joseph Lower, the Companys Executive Vice President, Chief Financial Officer. Effective March 5, 2019, Mr. Lowers base salary increased from $600,000 to $675,000 per year and beginning with the 2019 performance year, Mr. Lowers annual target cash bonus opportunity increased from 80% of base salary to 90% of base salary. No other changes were made to Mr. Lowers compensatory arrangements.
