Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 9, 2018, Clarence E. Anthony resigned from the Board of Directors (the “Board”) and all Board committee positions of The GEO Group, Inc. (“GEO”) effective as of November 9, 2018 for personal reasons. Mr. Anthony served as a member of the Board since 2010 and he was serving as the chairman of GEO’s Operations and Oversight Committee and was a member of GEO’s Audit and Finance Committee, Corporate Planning Committee and Independent Committee. Mr. Anthony’s decision to resign from the Board did not involve any disagreement with GEO, management, or the Board.

GEO and the Board thank Mr. Anthony for his many years of dedicated service.
