Other Events.

On August 9, 2018, Peabody Energy Corporation (the “Company”) issued a press release announcing the receipt of the requisite consents pursuant to a solicitation of consents by the Company to proposed amendments to the indenture governing the Company’s 6.000% Senior Secured Notes due 2022 and 6.375% Senior Secured Notes due 2025.

A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
