All references to the number of shares outstanding are as of July 28, 2017, as reported in the Issuers Quarterly Report on Form 10-Q for the quarter ended June 30, 2017, as adjusted to account for (i) the conversion of an aggregate of 1,500,000 shares of Class B Common Stock into 1,500,000 shares of Class A Common Stock in connection with sales by the Reporting Persons that settled on August 11, 2017 and (ii) the conversion of an aggregate of 8,654,050 shares of Class B Common Stock into 8,654,050 shares of Class A Common Stock in connection with sales by certain stockholders pursuant to an underwritten offering that settled on August 14, 2017. The percentage is calculated using the total number of shares of Common Stock beneficially owned by the Reporting Person and based on 125,031,440 shares of Common Stock outstanding as of July 28, 2017, as adjusted. With respect to matters upon which the Issuers stockholders are entitled to vote, the holders of Class A Common Stock and Class B Common Stock vote together as a single class, and each holder of Class A Common Stock is entitled to one vote per share and each holder of Class B Common Stock is entitled to ten votes per share. The shares of Class B Common Stock owned by the Reporting Person represent 11.1% of the total voting power of the Common Stock as of July 28, 2017, as adjusted. EXPLANATORY NOTE: This Amendment No. 16 to Schedule 13D (Amendment No. 16) relates to the Class A Common Stock, $0.01 par value per share, of Hyatt Hotels Corporation, a Delaware corporation (the Issuer), which has its principal executive office at 71 South Wacker Drive, 12th Floor, Chicago, Illinois 60606. This Amendment No. 16 amends and supplements, as set forth below, the Schedule 13D filed by the Reporting Persons with respect to the Issuer on August 26, 2010 (the Original Schedule 13D), as amended and supplemented by Amendment No. 1 to Schedule 13D filed by the Reporting Persons on September 9, 2010 (Amendment No. 1), Amendment No. 2 to Schedule 13D filed by the Reporting Persons on May 18, 2011 (Amendment No. 2), Amendment No. 3 to Schedule 13D filed by the Reporting Persons on November 29, 2011 (Amendment No. 3), Amendment No. 4 to Schedule 13D filed by the Reporting Persons on January 4, 2012 (Amendment No. 4), Amendment No. 5 to Schedule 13D filed by the Reporting Persons on August 22, 2012 (Amendment No. 5), Amendment No. 6 to Schedule 13D filed by the Reporting Persons on December 4, 2012 (Amendment No. 6), Amendment No. 7 to Schedule 13D filed by the Reporting Persons on December 18, 2012 (Amendment No. 7), Amendment No. 8 to Schedule 13D filed by the Reporting Persons on May 17, 2013 (Amendment No. 8), Amendment No. 9 to Schedule 13D filed by the Reporting Persons on June 6, 2013 (Amendment No. 9), Amendment No. 10 to Schedule 13D filed by the Reporting Persons on June 21, 2013 (Amendment No. 10), Amendment No. 11 to Schedule 13D filed by the Reporting Persons on September 6, 2013 (Amendment No. 11), Amendment No. 12 to Schedule 13D filed by the Reporting Persons on November 6, 2013 (Amendment No. 12), Amendment No. 13 to Schedule 13D filed by the Reporting Persons on March 4, 2015 (Amendment No. 13), Amendment No. 14 to Schedule 13D filed by the Reporting Persons on August 31, 2016 (Amendment No. 14) and Amendment No. 15 to Schedule 13D filed by the Reporting Persons on December 9, 2016 (Amendment No. 15). All capitalized terms not otherwise defined herein have the meanings ascribed to them in the Schedule 13D. The Schedule 13D is amended and supplemented by adding the information contained herein. Only those items amended are reported herein.

Item 4 of the Schedule 13D is amended and supplemented as follows:
On August 8, 2017, Horton Trust Company, LLC, as trustee of Don G.C. Trust #8, R.A. G.C. Trust #8, LaSalle G.C. Trust #9, A.N.P. Trust #40-Penny, A.N.P. Trust #42-Penny, T-551-10FD2, 1740 #34FD2, 1740 #40FD-D and 1740 #40FD-R (collectively, the Sellers), sold an aggregate of 1,500,000 shares of Class B Common Stock in a block trade with a broker-dealer at a price of $59.55 per share, for an aggregate price of $89,325,000 (the August 2017 Sale). The August 2017 Sale settled on August 11, 2017. In accordance with the Issuers Amended and Restated Certificate of Incorporation, the shares of Class B Common Stock sold pursuant to the August 2017 Sale automatically converted into shares of Class A Common Stock immediately upon the August 2017 Sale.

Item 5 of the Schedule 13D is amended and supplemented as follows:
(a)-(b) As of the date hereof, the Reporting Persons may be deemed to be the beneficial owners of 14,650 shares of Class A Common Stock and 8,965,797 shares of Class A Common Stock issuable upon conversion of 8,965,797 shares of Class B Common Stock beneficially owned by the Reporting Persons. Based on the number of shares of Class B Common Stock outstanding as of July 28, 2017, as reported in the Issuers Quarterly Report on Form 10-Q for the quarter ended June 30, 2017, as adjusted to account for (i) the conversion of an aggregate of 1,500,000 shares of Class B Common Stock into 1,500,000 shares of Class A Common Stock in connection with sales by the Reporting Persons that settled on August 11, 2017 and (ii) the conversion of an aggregate of 8,654,050 shares of Class B Common Stock into 8,654,050 shares of Class A Common Stock in connection with sales by certain stockholders pursuant to an underwritten offering that settled on August 14, 2017, the number of shares of Class B Common Stock beneficially owned by the Reporting Persons represents 11.8% of the total number of shares of Class B Common Stock outstanding. Based on the number of shares of Common Stock outstanding as of July 28, 2017, as adjusted, the number of shares of Common Stock beneficially owned by the Reporting Persons represents 7.2% of the total number of shares of Common Stock outstanding and 11.1% of the total voting power of the shares of Common Stock outstanding, voting as a single class, assuming that no outstanding shares of Class B Common Stock have been converted into shares of Class A Common Stock.
Schedule A attached to this Amendment No. 16 amends and restates, in its entirety, Schedule A attached to the Schedule 13D. Schedule A attached to this Amendment No. 16 sets forth, as of the date hereof, the number of shares and percentage of the Class A Common Stock outstanding, the number of shares and percentage of the Class B Common Stock outstanding, the percentage of the total number of shares of Common Stock outstanding, and the percentage of the total voting power of the shares of Common Stock outstanding, voting together as a single class, represented by the shares beneficially owned by each Reporting Person.
P19M2 Investors II, L.L.C. is a manager-managed limited liability company formed for the purpose of acquiring shares of the Issuers Common Stock. It directly holds 1,006,675 shares of Class B Common Stock and has no voting or dispositive power with regard to the shares. P19M2 Investors II, L.L.C. is managed by Horton Trust Company, LLC and is wholly owned by one or more of the trusts listed on Appendix A-1

Based solely on the information contained in the Issuers Current Report on Form 8-K filed December 22, 2016, two Separately Filing Group Members sold an aggregate of 1,696,476 shares of Class B Common Stock into the public market pursuant to Rule 144 under the Securities Act of 1933, as amended. In accordance with the Issuers Amended and Restated Certificate of Incorporation, the shares of Class B Common Stock sold pursuant to such sales automatically converted upon such sales into shares of Class A Common Stock.
Based solely on the information contained in the Form 4 filings filed on March 21, 2017 and March 22, 2017 by a Separately Filing Group Member, such Separately Filing Group Member sold an aggregate of 258,877 shares of Class A Common Stock.
Based solely on the information contained in the Issuers Current Report on Form 8-K filed July 18, 2017, a Separately Filing Group Member sold an aggregate of 233,000 shares of Class B Common Stock into the public market pursuant to Rule 144 under the Securities Act of 1933, as amended. In accordance with the Issuers Amended and Restated Certificate of Incorporation, the shares of Class B Common Stock sold pursuant to such sales automatically converted upon such sales into shares of Class A Common Stock.
Based solely on the information contained in the Schedule 13Ds, as amended, filed by the Separately Filing Group Members, as of the date hereof, the Pritzker Family Group in the aggregate may be deemed to be the beneficial owners of 305,023 shares of currently issued Class A Common Stock and 73,666,394 shares of Class A Common Stock issuable upon conversion of 73,666,394 shares of Class B Common Stock beneficially owned by the Pritzker Family Group. The number of shares of Class A Common Stock beneficially owned by the Pritzker Family Group and currently issued represents 0.6% of the total number of shares of Class A Common Stock outstanding, assuming that no outstanding shares of Class B Common Stock have been converted into shares of Class A Common Stock. The number of shares of Class B Common Stock beneficially owned by the Pritzker Family Group represents 97.0% of the total number of shares of Class B Common Stock outstanding. The number of shares of Common Stock beneficially owned by the Pritzker Family Group represents 59.2% of the total number of shares of Common Stock outstanding and 91.2% of the total voting power of the shares of Common Stock outstanding, voting together as a single class, assuming that no outstanding shares of Class B Common Stock have been converted into shares of Class A Common Stock.
Schedule B attached to this Amendment No. 16 amends and restates, in its entirety, Schedule B attached to the Schedule 13D. Schedule B attached to this Amendment No. 16 sets forth, as of the date hereof, the number of shares and percentage of the Class A Common Stock outstanding, the number of shares and percentage of the Class B Common Stock outstanding, the percentage of the total number of shares of Common Stock outstanding, and the percentage of the total voting power of the shares of Common Stock outstanding, voting together as a single class, represented by the shares beneficially owned by the Reporting Persons and each Separately Filing Group Member.
