Explanatory Note

This Current Report on Form 8-K/A (“Amendment No. 1”) amends and restates in its entirety that certain Current Report on Form 8-K originally filed on July 21, 2017 (“Original Form 8-K”), to correct the issuance dates of two press releases filed as Exhibits 99.1 and 99.2 to the Original Form 8-K, from July 21, 2017 to July 24, 2017.

 

Item 7.01 Regulation FD

On July 24, 2017, Farmers National Banc Corp. (the “Company”) issued a press release announcing that it has received the regulatory approvals, including approval from The Federal Reserve Bank of Cleveland and the Office of the Comptroller of the Currency, necessary to complete the proposed merger of Monitor Bancorp, Inc. (“Monitor”) with and into FMNB Merger Subsidiary II, LLC, a newly-formed wholly-owned subsidiary of Farmers (“Merger Sub”), pursuant to the Agreement and Plan of Merger dated as of March 13, 2017 by and among the Company, Monitor, and Merger Sub, and the related merger of Monitor’s wholly-owned subsidiary bank, The Monitor Bank, with and into The Farmers National Bank of Canfield, the Company’s wholly-owned subsidiary bank. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.

The press release is furnished herein, as part of this Item 7.01, as Exhibit 99.1. Pursuant to General Instruction B.2 of Current Report on Form 8-K, the information in this Item 7.01 and Exhibit 99.1 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liability of that section. Item 8.01 Other Events

Also on July 24, 2017, the Company issued a press release announcing the election deadline for Monitor common shareholders to elect the form of consideration they wish to receive for their Monitor common shares in connection with the proposed merger of Monitor with and into Merger Sub. A copy of the press release is attached as Exhibit 99.2 to this Current Report on Form 8-K and incorporated herein by reference.
