Artisan Partners Asset Management Inc. Announces Offering of Class A Common Stock

Milwaukee, WI – February 22, 2017 – Artisan Partners Asset Management Inc. (NYSE: APAM) (the “Company” or “Artisan Partners”) is announcing today that it has agreed to sell 5,626,517 shares of the Company’s Class A common stock (representing approximately 7.4% of the firm’s outstanding equity) in an underwritten public offering. The Company intends to use all of the net proceeds of the offering to purchase 5,626,517 common units of Artisan Partners Holdings LP, the Company’s direct subsidiary, from certain limited partners of Artisan Partners Holdings LP. The limited partners who are selling common units include certain of the Company’s officers and employees and Artisan Investment Corporation, an entity controlled by the founders of the Company.

After completion of this transaction, the Company’s employees will own approximately 23% of the economic interests in the firm, and Artisan Investment Corporation will own 4.6% of the economic interests. The completion of this transaction will increase the Company’s public float of Class A common stock by 5,626,517 shares.

Citigroup and BofA Merrill Lynch are acting as the underwriters for the offering.
