Item 8.01 Other Events.

On December 5, 2011, the Company and Entergy Corporation (“Entergy”) issued a joint press release announcing that they had executed definitive agreements pursuant to which Entergy will divest and merge its electric transmission business into the Company in an all-stock, Reverse Morris Trust transaction. A copy of the joint press release is attached hereto as Exhibit 99.3 and incorporated herein by reference.
