Item 8.01. Other Events.

On May 20, 2011, Kindred Healthcare, Inc. (the “Company”) issued a press release announcing that the Company has priced its previously announced offering of $550 million aggregate principal amount of 8.25% senior notes due 2019 (the “Senior Notes Offering”) at an issue price of 100%. The Senior Notes Offering is expected to close on June 1, 2011. The Company intends to use the net proceeds of the Senior Notes Offering and borrowings under certain senior secured credit facilities to fund the acquisition of RehabCare Group, Inc. (“RehabCare”) and to repay outstanding indebtedness of the Company and RehabCare. The press release, dated May 20, 2011, is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
