Item 8.01. Other Events

At its October 19, 2006 meeting, the Company’s Board of Directors approved the Company’s third quarter dividend in the amount of 12 cents per share. The dividend will be paid on December 30, 2006 to shareholders of record as of the close of business on December 15, 2006.
