Item 1.01 Entry into a Material Definitive Agreement.

 

On October 24, 2005, Kindred Healthcare, Inc. (the “Company”) announced that certain of its subsidiaries signed a definitive agreement (the “Agreement”) to acquire the operations of the long-term acute care hospitals, skilled nursing facilities and assisted living facilities operated by Commonwealth Communities Holdings LLC and certain of its affiliates for a total purchase price of $125 million in cash.

 

The transaction is subject to several regulatory approvals and other conditions to closing, including the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvement Act of 1976, as amended.

 

The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, a copy of which is filed as Exhibit 2.1 hereto and is incorporated in this report by reference. Exhibit 2.1 includes a descriptive list of omitted disclosure schedules and exhibits to the Agreement. A copy of such schedules and exhibits shall be furnished supplementally to the Securities and Exchange Commission upon its request.
