Item 1.01. Entry into a Material Definitive Agreement.

 

On May 12, 2005, the Board of Directors of The Mosaic Company (the “Company”) approved (i) an executive financial planning program pursuant to which the Company’s executive officers, the Vice President and Treasurer and the Vice President—Tax (“Covered Executives”) are eligible for reimbursement of up to $20,000 over a three year period for the costs of financial planning, and (ii) an executive physical exam program pursuant to which approximately seventy employees, including Covered Executives, are entitled to reimbursement for the costs of physicals every three years (in the case of participants under age 50), every two years (in the case of participants between the ages of 50 and 59) and annually (in the case of executives age 60 and older).
