Entry into a Material Definitive Agreement.

 

On January 19, 2005, the board of directors of Universal Health Services, Inc. (the “Company”) appointed Marc D. Miller as vice president of the Company. Marc D. Miller is the son of Alan B. Miller, the Company’s chairman of the board, chief executive officer and president. A press release announcing the appointment of Marc D. Miller to the office of vice president, together with other developments, is annexed hereto as Exhibit 99.1.
