Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective September 29, 2006, Milton “Todd” Ault, III resigned as the interim Chief Executive Officer and a member of the Board of Directors (the “Board”) of Patient Safety Technologies, Inc. (the “Company”), and the Board appointed Lynne Silverstein as the Company’s interim Chief Executive Officer and as a member of the Board to fill the vacancies created. Ms. Silverstein has been the Company’s President since October 22, 2004.

On October 5, 2006, the Company issued a press release with respect to the aforementioned events, a copy of which is attached to this Current Report as Exhibit 99.1.
