Item 8.01    Other Information.
On January 5, 2018 the Compensation Committee of the board of directors of Overstock.com, Inc. (“Overstock”), authorized a bonus payment of $33,760, payable in bitcoin, to Jonathan E. Johnson III as part of a bonus pool Overstock’s wholly-owned subsidiary Medici Ventures, Inc. (“Medici”), is paying its employees for managing cryptocurrencies held by Medici during 2017. The bonus payment is based on the increase in the value of the cryptocurrencies from August 1, 2017 to December 31, 2017 and was paid on or about January 9, 2018. Mr. Johnson, who serves as President and a director of Medici, is also a named executive officer and member of the board of directors of Overstock.
