On June 16, 2015, InVivo Therapeutics Holdings Corp. (the Company) held its 2015 Annual Meeting of Stockholders (the Annual Meeting). At the Annual Meeting, the Companys stockholders approved the Companys Employee Stock Purchase Plan. A description of the material terms and conditions of the Employee Stock Purchase Plan appears on pages 33-35 of the Companys definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on April 29, 2015 (the Proxy Statement), and such description is incorporated herein by reference. This summary is qualified in its entirety by the full text of the Employee Stock Purchase Plan, which is filed herewith as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
At the Annual Meeting, the Companys stockholders also approved the Companys 2015 Equity Incentive Plan. A description of the material terms and conditions of the 2015 Equity Incentive Plan appears on pages 36-44 of the Proxy Statement and such description is incorporated herein by reference. This summary is qualified in its entirety by the full text of the 2015 Equity Incentive Plan, which is filed herewith as Exhibit 10.2 to this Current Report on Form 8-K and is incorporated herein by reference.
On June 16, 2015, the Compensation Committee of the Companys Board of Directors (the Compensation Committee) approved a change in the bonus target for its senior executives (other than the Companys Chief Executive Officer) from 25% to 35% of the senior executives base salary, effective with the 2015 annual incentive bonus plan.
Item 5.07. Submission of Matters to a Vote of Security Holders.
Set forth below are the matters submitted to the stockholders at the Annual Meeting, all of which were approved:
· the election of two (2) Class I directors to serve on the Companys Board of Directors for a three-year term ending at the Companys annual meeting of stockholders in 2018 and one (1) new Class III director to serve on the Companys Board of Directors for a term ending at the Companys annual meeting of stockholders in 2017, or until their successors are duly elected and qualified;
· the approval of the Companys Employee Stock Purchase Plan;
· the approval of the Companys 2015 Equity Incentive Plan; and
· the ratification of the appointment of Wolf & Company, P.C. as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2015.
