Source and Amount of Funds or Other Consideration Funds used for the acquisition of Common Stock of the Issuer were Personal investment funds of Kenneth Luskin in the aggregate amount of $49,752 with respect to 49,100 shares of Common Stock personally owned by Mr. Luskin, and funds in the aggregate amount of $4,419,693 of advisory clients of Intrinsic Value Asset Management, Inc., including funds of IVAM Tech Fund, LP, a limited partnership of which it is a general partner, with respect to 2,263,151 shares of Common Stock owned by such advisory clients. Item 4. Purpose of Transaction On February 28, 2008 the filing person requested the board of directors to promptly sell the company with the assistance of an outside investment firm. The filing person no longer recommends the sale of the company. The filing person understands that the company will receive a royalty of 15% of gross sales of ColoSure, a new product to be launched by Laboratory Corp. of American Holdings. After investigating ColoSure, the filing person believes that this product provides the potential for material future growth in the company's revenues and profits. Furthermore, although the filing person continues to be concerned about deficiencies in management of the issuer, all operations related to this product will be the responsibility of parties other than the company. Accordingly, the filing person has notified the board of directors that the filing person's previous request has been withdrawn and that the filing person expects to pursue all available legal remedies to prevent the sale of the company to any purchaser in which any members of the board of directors or management have an interest. Other than as described in this schedule 13d, the filing persons have no plans or proposals of the type described in this schedule 13d. Item 5. Interest in Securities of the Issuer (a) As of August 18, 2008, the Reporting Persons beneficially owned the following number of shares of the Company's Common Stock (the approximate percentage of the shares of Common Stock owned as indicated in percentages below is based on 27,274,118 shares of Common Stock Outstanding on June 30, 2008 according to the Company's Form 10-Q Quarterly Report for the quarter ended June 30, 2008). (i) Kenneth Luskin personally owned 49,100 shares (0.18%) and as the control person of Intrinsic Value Asset Management, Inc., beneficially owned 2,312,251 shares (8.5%). (ii) Intrinsic Value Asset Management, Inc. beneficially owned 2,263,151 shares (8.3%). (iii) Total of the above is 2,312,251 shares (8.5%).
