Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On August 5, 2018, the Board of Directors of LKQ Corporation (the "Company") elected each of Meg A. Divitto, John W. Mendel and Jody G. Miller as members of the Board of Directors. Ms. Divitto was appointed to the Company's Industry, Regulatory and Consumer Awareness Committee; Mr. Mendel was appointed to the Company's Compensation Committee; and Ms. Miller was appointed to the Company's Audit Committee. Each new director will receive compensation under the Company’s standard compensation arrangement for non-employee directors (as described in the Company’s proxy statement for its 2018 annual meeting of stockholders). 
A copy of the Company's August 6, 2018 press release announcing the election of the new directors is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
