Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On November 16, 2005, Paul Fitzgerald, our principal accounting officer, informed us that he intends to leave our firm to seek other opportunities. His responsibilities as principal accounting officer will be assumed, effective immediately, by Julie M.B. Bradley, our Chief Financial Officer. To provide a transition period, his employment will continue until January 31, 2006.
