Item 8.01. Other Events.
     On April 3, 2007, Thoratec Corporation (the “Company”) received a letter from The Nasdaq Stock Market (“Nasdaq”) informing it that, because the Company had filed its Annual Report on Form 10-K for the year ended December 30, 2006 (“2006 10-K”) on April 2, 2007, the Company complies with Nasdaq Marketplace Rule 4310(c)(14) and Nasdaq’s delisting action is moot. The Company had previously announced on March 20, 2007 that it had received a staff determination letter from Nasdaq stating that the Company’s failure to timely file its 2006 10-K caused it to be out of compliance with the continued listing requirement set forth in Nasdaq Marketplace Rule 4310(c)(14).
